GPM and OpCo will enter into the GPM Distribution Contract and GPM will have executed an ongoing guaranty in favor of the counterparties to the Fuel Supplier Agreements.
Supplier and GPM Midwest, LLC, a Delaware limited liability company (“Road Ranger”), have entered into a fuel distribution agreement of even date herewith (the “GPM RR Distribution Contract,” and, together with this Agreement and the GPM Distribution Contract, the “GPM Distribution Contracts”) in which Supplier and Road Ranger agree, among other things, that Supplier shall supply Product to Road Ranger pursuant to the terms and conditions therein.
Unless such GPM Entity is able to purchase fuel through a Pre-Existing Supply Agreement, the Partnership shall be obligated to distribute fuel to the newly acquired convenience stores in accordance with the terms and conditions set forth in the GPM Distribution Contract, other than the price for such fuel, which price shall be set at the Partnership’s cost to purchase such fuel plus the Alternate Fuel Sales Rate until such time, if any, as GPM and the Partnership agree to a fuel supply arrangement.
