Grantor Parties will use commercially reasonable efforts to avoid including in any event agreement executed by the Grantor Parties a provision granting advertising rights to a Company Competitor on Grantor Property.
The Company shall abide by, and shall notify and require its guests to abide by, any rules and regulations regarding use of Tickets and conduct on Grantor Property, as the Agent shall establish from time to time, including without limitation the Sponsor Guidelines, language on Tickets, and the “Stadium Fan Guide” available on Grantor Parties' websites.
The Grantor Parties shall be obligated solely to display the Company Content on the specified online Advertising Location(s), and shall not be obligated to update, repair or otherwise maintain such Company Content.
Company agrees and acknowledges that a Company Competitor may have advertising rights at certain events on Grantor Property that are not within the control of Grantor Parties (such as the international soccer matches or the Olympics).
Except as otherwise set forth herein, the Grantor Parties shall have no liability to the Company on account of any such cancellation or postponement or other failure or deficiency in the conduct of such Ticketed Event.
The official rules shall expressly state that none of the Grantor Parties are responsible for such Game of Chance and shall require each participant to release the Grantor Parties from any liability arising from the administration of such Game of Chance as a condition of entry.
