  • Unless the entire Outstanding Balance hereunder has been repaid in full by the Company to the Lender on or before the Maturity Date, on the Maturity Date the Company and the Lender shall cause this Note to be converted into the an 11.5% Senior Secured Grid Note pursuant to that certain Securities Purchase Agreement, dated as of September 28, 2004, by and between Lender and the Company (the "SPA").
