Handover Condition definition

Handover Condition means the handover of the Demised Premises in a condition as set out in Annexure “B”.
Handover Condition means that the Corozal Container Terminal (including for the avoidance of doubt all Terminal Structures and all Terminal Equipment) shall be in good order and condition in accordance with Good Industry Practice (allowing for normal wear and tear), and that the Corozal Container Terminal (including for the avoidance of doubt all Terminal Structures and all Terminal Equipment) shall be in such condition so as to enable the ACP or its nominee to continue to perform activities the same as or substantially similar to the Terminal Services for a continuous period of not less than five (5) years following the expiry of the Concession Term;
Handover Condition has the meaning given in clause 28.3.

Examples of Handover Condition in a sentence

  • On the Commencement Date the Lessor shall handover to the Lessee the Demised Premises in the Handover Condition.

  • The Lessee shall ensure that the Lessor will not be required to redo any completed portion of the Handover Condition as a result of the Lessee’s commencement / carrying out of its fit-outs and shall ensure that it does not prejudice the Lessor from achieving Substantial Completion at the Demised Premises.

  • The Parties have conducted a joint inspection and ascertained that the Handover Condition has been achieved.

  • If, as a result of the Handover Condition Survey undertaken in accordance with Article 45.3.1, the Independent Expert considers that the Concession Area, the Port Facility or the Equipment or any part thereof have/has not been operated and maintained in accordance with the requirements under this Agreement (normal wear and tear excepted) the Concessionaire shall, at its cost and expense, take all necessary steps to put the same in good working condition prior to the Handover Date.

  • Upon service of a Termination Notice, the Parties shall appoint, within ten (10) Business Days of such notice, an Independent Expert to conduct a Handover Condition Survey.

  • In carrying out the first Handover Condition Survey, the Independent Expert shall estimate the amount of money in US Dollars required for a third party to place the Concession Area, the Port Facility and the Equipment in compliance with the specification and conditions applicable to them pursuant to this Agreement.

  • For avoidance of doubt, subject to waiver of Rent for Lessor’s delays as set out above, where delay in handover of the Demised Premises in the Handover Condition is due to the Lessee Delay, the Rent Commencement Date shall be determined based on the date on which the Lessor would have otherwise handed over the Demised Premises in Handover Condition to the Lessee had there been no Lessee Delay.

  • On the Commencement Date, the Lessor shall handover to the Lessee the Demised Premises in the Handover Condition.

  • The Parties shall conduct a joint inspection prior to the Handover Date to ensure that Handover Condition has been achieved.

  • The Lessee shall ensure that the Lessor will not be required to redo any completed portion of the Handover Condition as a result of the Lessee’s commencement / carrying out of its fit-outs and shall ensure that it does not prejudice the Lessor completing the Demised Premises.


More Definitions of Handover Condition

Handover Condition has the meaning given in clause 29.2. Handover Inspection has the meaning given in clause 29.3(a).

  • Minimum Tender Condition shall have the meaning provided in Section 2.15(b).

  • Minimum Condition has the meaning set forth in Annex I.

  • Business Condition means the current business, financial condition, results of operations and assets of a corporate entity.
