HPC Derivatives definition

HPC Derivatives means all improvements, derivatives and modifications to any HPC Technology, developed by any party during the course of the CDP based on access to or use of Intermolecular-provided tools, software or information enabling the use of HPC Technology.
HPC Derivatives shall have the Legacy Meaning as set forth in the Advanced Memory Agreements, namely, all HPC Technology improvements, derivatives and modifications developed by either [***] or both parties

Examples of HPC Derivatives in a sentence

  • Notwithstanding any other provision to the contrary, as among the parties and regardless of creator, Intermolecular shall own all right, title and interest, including Intellectual Property Rights, in and to HPC Technology and any HPC Derivatives, and all Intellectual Property Rights in any of the foregoing.

  • Elpida hereby assigns, and agrees to assign to IM in the future Intellectual Property Rights in and to HPC Derivatives when first fixed in a tangible medium or reduced to practice, as applicable.

  • For the avoidance of doubt, HPC Derivatives do not include Intellectual Property Rights in and to Elpida Inventions and IM Inventions (defined in Section 3.3 below).

  • The HPC Workflow Subscription and Access Fee includes a non-transferable, worldwide license for Elpida to use HPC Technology and HPC Derivatives to the extent necessary for Elpida to carry out its obligations set forth in the Development Plan(s).

  • Customer hereby assigns, and agrees to assign to IMI in the future when any such HPC Derivatives are first fixed in a tangible medium or reduced to practice, as applicable, all of its right, title and interest in and to any HPC Derivatives, except to the extent that the HPC Derivatives include any Background Technology of Customer.

  • Without limiting the foregoing sections between the parties, IMI shall own all right, title, and interest in and to the HPC Technology and all improvements, derivatives and modifications thereof developed by either party or both parties during the course of the Agreement (collectively referred to as the "HPC Derivatives").

  • Subject to Section 7 of this Agreement, IMI hereby grants Customer a [***] license, [***] under and to IMI's Intellectual Property Rights and Know-How in the HPC Technology and HPC Derivatives to engage in the CDP Activities with IMI.

  • The HPC Workflow Subscription and Access Fee includes a non-transferable, worldwide license for GF to use HPC Technology and HPC Derivatives to the extent necessary for GF to carry out its obligations set forth in the Development Plan(s).

  • Guardian hereby assigns, and agrees to assign to Intermolecular in the future when any such HPC Derivatives are first fixed in a tangible medium or reduced to practice, as applicable, all of its right, title and interest in and to any HPC Derivatives.

  • For purposes of this Agreement, Independent Technology does not include HPC Technology or HPC Derivatives.

Related to HPC Derivatives

  • OTC derivative or ‘OTC derivative contract’ means a derivative contract the execution of which does not take place on a regulated market as within the meaning of Article 4(1)(14) of Directive 2004/39/EC or on a third-country market considered as equivalent to a regulated market in accordance with Article 19(6) of Directive 2004/39/EC;

  • Derivatives Any exchange-traded or over-the-counter (i) forward, future, option, swap, cap, collar, floor or foreign exchange contract or any combination thereof, whether for physical delivery or cash settlement, relating to any interest rate, interest rate index, currency, currency exchange rate, currency exchange rate index, debt instrument, debt price, debt index, depository instrument, depository price, depository index, equity instrument, equity price, equity index, commodity, commodity price or commodity index, (ii) any similar transaction, contract, instrument, undertaking or security, or (iii) any transaction, contract, instrument, undertaking or security containing any of the foregoing.

  • Unmodified Derivatives means substances created by Recipient, which constitute an unmodified functional subunit or product expressed by the Original Material (for example, subclones of unmodified cell lines, purified or fractionated subsets of the original material, proteins expressed by DNA/RNA supplied by Provider, or monoclonal antibodies secreted by a hybridoma cell line).

  • Derivative Product means a written contract or agreement between the Authority and a Reciprocal Payor, which provides that the Authority’s obligations thereunder will be conditioned on the absence of (a) a failure by the Reciprocal Payor to make any payment required thereunder when due and payable, or (b) a default thereunder with respect to the financial status of the Reciprocal Payor; and:

  • Short Derivative Instrument means a Derivative Instrument (i) the value of which generally decreases, and/or the payment or delivery obligations under which generally increase, with positive changes to the Performance References and/or (ii) the value of which generally increases, and/or the payment or delivery obligations under which generally decrease, with negative changes to the Performance References.
