The Facility/facilities must be connected to the IESO-Controlled Grid or a Distribution System.
Both Parties agree to meet no less than once a year to review the operation of the Contract Facility, and to identify opportunities to enhance the Contract Facility’s contribution to the reliable operation of the IESO-Controlled Grid during the Term of this Agreement.
The equipment to be so provided by the Generator shall include such electrical equipment on the Generator’s side of the Points of Delivery as the System Operator and the Transmitter reasonably deem necessary, from time to time, for the safe and secure operation of the IESO-Controlled Grid, as required by the IESO Market Rules and the Transmission System Code, as applicable.
No Covered Person shall have any liability to the Trust, any Fund, any Owner or any other Covered Person for any loss suffered by the Trust or any Fund which arises out of any action or inaction of such Covered Person if (i) such Covered Person, in good faith, determined that such course of conduct was in the best interest of the Trust or the applicable Fund, and (ii) such course of conduct did not constitute negligence or misconduct of such Covered Person.
The equipment to be so provided by the Supplier shall include such electrical equipment as the IESO or the Transmitter deem necessary, from time to time, for the safe and secure operation of the IESO-Controlled Grid as required by the IESO Market Rules and the Transmission System Code.
