Implied Value definition

Implied Value means the value of the Company that is implicit in the Offering Price, before giving effect to underwriting discounts and costs and expenses of the IPO.
Implied Value as applied to Capital Stock means the Cost of such Capital Stock plus an implied 25% return on Cost, compounded annually, from the date of payment by Shareholder of such Cost and ending on the date that Implied Value is required to be determined.
Implied Value means for any Hotel Property an amount arrived at based upon that Hotel Property's Adjusted Cash Flow, divided by the Applicable Cap Rate.

  • In the case of a Marital Relationship Transfer, the Notice of Involuntary Transfer will constitute an irrevocable offer by the Interested Party to sell all or any portion of the Subject Shares to the Former Shareholder, at a price equal to the greater of Equity Value or Implied Value, if the Involuntary Transfer occurs prior to August 1, 2010, and at Fair Market Value if the Involuntary Transfer occurs thereafter.

Implied Value means, with respect to an Exit Event or Partial Exit, the quotient of (A) the aggregate amount of Potential Proceeds payable in respect of the relevant sale, transfer or other disposition of the Subject Shares or the Remaining Shares (as the case may be), divided by (B) a fraction, the numerator of which is equal to the number of Subject Shares or Remaining Shares (as the case may be) sold, transferred or disposed of in such Exit Event or Partial Exit, and the denominator of which is equal to the aggregate number of shares of the Buyer’s capital stock outstanding immediately prior to such transaction on a fully-diluted basis.
Implied Value means the number obtained by the following formula:
Implied Value means, for each Company Share, an amount equal to the product of the Exchange Ratio and the Parent Share Price;

For purposes of determining the Implied Value of any Real Property which has not been operational for four full fiscal quarters, the Adjusted Cash Flow attributable to such Real Property shall be deemed to be the result obtained by annualizing the components of the actual Adjusted Cash Flow attributable to such Real Property for the period that such Real Property has been operational.
