Indemnification in Derivative Actions and Direct Actions by the Company Clause Samples

This clause defines the company's obligation to indemnify individuals, such as directors or officers, for expenses and liabilities incurred in legal actions brought by or on behalf of the company (derivative actions) or in direct lawsuits initiated by the company itself. It typically outlines the conditions under which indemnification is available, such as requiring that the individual acted in good faith and in the best interests of the company, and may specify exclusions for cases involving misconduct or breach of duty. The core function of this clause is to protect company representatives from personal financial loss arising from their official actions, thereby encouraging them to act in the company's best interests without fear of undue personal liability.
