Should a Market Disruption Event occur (as defined below) on the date of a Month-End Index Value calculation (also an “Index Valuation Date”), the Bank reserves the right to determine the S&P 500® Index Value for said Index Valuation Date on the basis of the value of the S&P 500® Index on the first of the five immediate Stock Market Business Days on which there was no Market Disruption Event.
If there is a Market Disruption Event on any of the mentioned dates, then the fifth Stock Market Business Day shall be used to determine the S&P 500® Index Value for said Index Valuation Date, notwithstanding, the Market Disruption Event.
Returns on the Notes will not reflect the return an investor would realize if they actually owned the common stocks of any of the companies included in the Underlying Index and received the dividends paid on those stocks because the Final Index Level reflects the prices of the common stocks in the Underlying Index on the Final Index Valuation Date without taking into consideration the value of dividends paid on those stocks.
Because the Final Index Level will be calculated based on the Underlying Index closing level on the Final Index Valuation Date, the level of the Underlying Index at various other times during the term of the Notes could be higher than the Final Index Level.
