The proceeds of the Disbursements shall be available (and the Borrower agrees that it shall use such proceeds) solely to pay for (a) the Financed Portion of costs incurred on or after the Initial Eligibility Date for the purchase of Goods and Services, and (b) the Exposure Fee related to such Financed Portion.
