If an Event of Default occurs and is continuing, the Operating Partnership shall, at the request of the Trustee or the Holder thereof, exchange all or part of the Initial Global Note or Exchange Global Note, as the case may be, for one or more Initial Certificated Notes or Exchange Certificated Notes, as applicable.
Upon the registration of the transfer of any Initial Certificated Note to a QIB or Non-U.S. Person, such Initial Certificated Note shall be exchanged for a beneficial interest in the applicable Initial Global Note.
Except as provided in Section 4.01(b), interests in an Initial Global Note may not be exchanged for Initial Certificated Notes and the Operating Partnership waives any discretionary right it may otherwise have to cause the Notes to be issued in certificated form.
The Initial Global Note, Rule 144A Global Note, the IAI Global Note and the Regulation S Global Note are each referred to herein as a “Global Note” and are collectively referred to herein as “Global Notes”; provided that the term “Global Note” when used in Sections 2.1(d), 2.3(b), 2.3(g), 2.3(h)(i), 2.3(h)(ii) and 2.4 of this Appendix A and Section 2.06 of this Indenture shall also include the Unrestricted Global Note.
The time and date at which such delivery and payment are actually made is hereinafter called the “Closing Time.” The Initial Global Note will be made available for inspection by the Representatives not later than 1:00 p.m., New York City time, on the business day prior to the Closing Time.

If the Holder of an Initial Certificated Note wishes to transfer such Initial Certificated Note to a QIB pursuant to Rule 144A, such Holder may, subject to the rules and procedures of the Depositary, cause the exchange of such Initial Certificated Note for an equivalent beneficial interest in the Initial Global Note.
Upon transfer of any Initial Certificated Note to a QIB pursuant to Section 2.06(b)(i) hereof, such Initial Certificated Note may be exchanged for a beneficial interest in the Initial Global Note, except as provided in Section 2.06(c).
The Fiscal Agent shall cancel or procure the cancellation of the Initial Global Note when and if it has made full exchange thereof for interests in the Final Global Note.
