Unless previously converted or repaid in accordance with the terms of this Agreement, immediately prior to the Maturity Date, the Investor shall have the right, but not the obligation, to elect to convert all or any portion of the Outstanding Balance, into either: (i) the Subsequent Senior Shares, at a price per share equal to the lowest price per share paid for such Subsequent Senior Shares, or (ii) shares of Preferred D-1 Stock of the Company, at the Series D-1 Original Issue Price.
Concurrent with the brokered Offering, the Corporation intends to complete a non-brokered private placement of 36,600,000 Units to a strategic investor at the Issue Price for aggregate gross proceeds of US$75,030,000 (the "Non-Brokered Private Placement").

Issue Price 98.5% of principal, plus accrued interest, if any, from September 12, 2025 if settlement occurs after that date.
