If the Principal has not become the registered proprietor of the Site on or before the Latest Date, or the Land Sale Contract is terminated for any reason whatsoever prior to the Latest Date, the Principal may terminate the Contract immediately by notice in writing to the Contractor, and the Contractor must refund to the Principal any amounts which have been paid by the Principal to the Contractor under the Contract in full and without any deduction.
