Your membership in the program shall commence on your Launch Date, which will be not more than thirty (30) days after the Effective Date.
The Initial Term of this Agreement (the “Term”) commences on the Effective Date and auto-renews to a new consecutive term on the first (1st) anniversary of the Launch Date, subject to the right to cancel this agreement by either party giving 30 days-notice.
You agree to maintain professional errors and omissions insurance with primary and excess limits of not less than $1,000,000; and You must provide us upon demand with proof of coverage (i.e., Certificates of Insurance): (a) prior to the Launch Date; (b) prior to the commencement of each Renewal Term; (c) within 10 days after the renewal of a policy; and (d) at any other time on demand.
The annual fee covers the period of time between the Effective Date and the first (1st) anniversary of your Launch Date.
This Agreement shall commence upon the Effective Date and shall continue for a period of three years from the Launch Date (the “Initial Term”).
