LEGEND ON STOCK CERTIFICATES. All certificates representing Pennwood Stock now outstanding and owned or hereafter owned by the Pennwood Shareholders or hereafter to be issued and delivered by Pennwood shall have the following legend endorsed thereon: "The shares of stock represented by this certificate are held under and subject to the provisions of a certain Shareholders= Agreement dated July 29, 1999, a copy of which is on file in the office of the Secretary of the Corporation (Pennwood), and all transfers thereof are subject to the terms and conditions of said Shareholders= Agreement."

  • Stock Certificates has the meaning set forth in Section 2.2(a)(ii).
