  • University, and any Licensee Entity having rights in the affected Assigned Patent(s), shall have the right (but not the obligation) to participate voluntarily in the absence of any request by BMS, at its own cost, in any BMS-controlled litigation activities concerning the Assigned Patents.

  • During the Term, Tetraphase and its Affiliates and each Licensee Entity will maintain safety and facility procedures, data security procedures and other safeguards against the disclosure, destruction, loss, or alteration of Licensee’s or Tetraphase’s, respectively, information in its possession, which such procedures and safeguards shall be no less rigorous than those maintained by Tetraphase or Licensee, respectively, for its own information of a similar nature.
