Litigation; Orders. Except as set forth in Schedule 4.17 hereto or except as if adversely determined could not reasonably be expected to have a Material Adverse Effect on the Company, there is no civil, criminal, administrative or regulatory action, suit, claim, notice, hearing, inquiry, proceeding or investigation at law or in equity by or before any court, regulator, arbitrator or similar panel, governmental instrumentality or other agency (each a "Legal Proceeding" and collectively, "Legal Proceedings") now pending or threatened, against any of the Company or its Subsidiaries or any of their respective assets, properties or businesses. Except as set forth on Schedule 4.17 hereto, neither the Company, nor any Subsidiary, officer, director or stockholder thereof has been permanently or temporarily enjoined or barred by order, judgment or decree of any court or other tribunal or any agency or self-regulatory body from engaging in or continuing any conduct or practice with respect to the business of the Company or any of its Subsidiaries. Except as if adversely determined could not reasonably be expected to have a Material Adverse Effect on the Company, neither the Company, nor any of its Subsidiaries is subject to any writ, injunction or decree of any court of any federal, state, municipal or other domestic or foreign governmental department, commission, board, bureau, agency or instrumentality (each an "Order" and collectively, "Orders").
