Prior to or on the Closing Date the Company shall deliver to the Purchaser and Escrow Agent the Pending or Threatened Litigation Schedule to be attached hereto as Exhibit B and a signed Registration Rights Agreement in the form attached hereto as Exhibit C.

As of and after the Closing Date, there is no investigation, enforcement action or regulatory action pending or, to the knowledge of the Loan Parties, threatened against or affecting any of the Loan Parties by any Governmental Authority, except as set forth on the Litigation Schedule, which is reasonably likely to have a Material Adverse Effect.
