Material Items definition

Material Items means nonmedical goods and services that meet short-term, basic needs and support Expectant Parents during pregnancy and up to one (1) year following a Child’s birth.
Material Items means matters occurring prior to the date of this Agreement, which would have an adverse impact of $500,000 or greater in the aggregate on the Assets or Black Marlin. Buyer agrees that if it terminates this Agreement as a result of an amendment to the Disclosure Schedule or other schedule that does not constitute a Material Item, Buyer shall not have any recourse against Seller.

Examples of Material Items in a sentence

  • The term "Material Items of Equipment" shall mean such material items of equipment that are normally and customarily required to operate each applicable Property, including HVAC systems, point of sale equipment, dispensers, walk in coolers, cooking equipment (if applicable), canopies, and price signs.

Related to Material Items

  • Material IP means any Intellectual Property that is material to the conduct of the business of the Borrower and its Restricted Subsidiaries, taken as a whole.

  • Material Information means any information (Material Fact or Material Change) relating to the business and affairs of the Company that results in or would reasonably be expected to result in a significant change in the market price or value of any of the Company’s securities;
