Material Part of the Assets definition

Material Part of the Assets means assets with a net book value in excess of 10% of the total assets of the Borrower and its Subsidiaries on a consolidated basis as determined in accordance with GAAP, as shown on the most recent balance sheet of the Borrower and its Subsidiaries available as of the date of the determination.

Material Part of the Assets has the meaning set forth in the Senior Credit Agreement.

Notwithstanding the foregoing, the transfer of operational control of the transmission assets of the Borrower to a regional transmission organization, independent system operator or independent transmission company approved by or required by the Federal Energy Regulatory Commission (“FERC”), or successor thereto, pursuant to FERC order, shall not be treated as a Disposition for purposes of this Section 6.2.

Related to Material Part of the Assets

  • Material Property means all Real Property owned in fee in the United States by any Credit Party, in each case, with a fair market value of $7,425,000 (as determined by the Borrower in good faith) or more, as determined (i) with respect to any Real Property owned by any Credit Party on the Closing Date, as of the Closing Date, and (ii) with respect to any Real Property acquired by a Credit Party after the Closing Date, as of the date of such acquisition.

  • Material Properties means (a) those Mortgaged Properties designated on Schedule 3.12 as Material Properties and (b) each other Mortgaged Property with respect to which a Mortgage is granted pursuant to Section 5.11 after the Restatement Effective Date.

  • Material Permits shall have the meaning ascribed to such term in Section 3.1(n).

  • Material Permitted Acquisition means a Permitted Acquisition involving consideration of $300.0 million or greater.
