Material Station Contract definition

Material Station Contract means those Station Contracts which involve the payment of $55,000 or more over the life of the particular Station Contract and which are identified as Material Station Contracts on Schedule 1.1(c).
Material Station Contract means any Station Contract that is (a) an affiliation agreement, (b) a Program Contract, (c) a retransmission agreement, (d) a sales representation agreement, (e) a Seller Real Property Lease or a Company Real Property Lease, (f) a contract that relates to any partnership or joint venture to which any Seller or Company is a party or (g) a contract that in any material way restricts the ability of any Station or Company from transacting any line of business or soliciting any clients or employees of any Person.
Material Station Contract means with respect to the Station, except for Retained Obligations: (i) contracts and other agreements calling for future aggregate purchase prices, payments or other consideration to or from Seller in any one year having a value of more than $20,000 in any one case (or in the aggregate, in the case of any related series of contracts and other agreements) other than for sales of advertising in the ordinary course of business consistent with past practice; (ii) contracts and other agreements containing covenants of Seller prohibiting or limiting the right to compete in any line of business, prohibiting or restricting its ability to conduct business with any Person or in any geographical area, or requiring the acquisition of goods or services exclusively from a single supplier or provider; (iii) all network affiliation contracts; (iv) all sales agency or advertising representation contracts; (v) all contracts and other agreements for the sale of broadcast time on the Station for other than monetary consideration with the subject matter of the barter having a value of more than $20,000; (vi) all contracts and other agreements pursuant to which the Station acquires programming or provides programming to third parties; and (vii) all retransmission consent agreements.

  • Environmental Affiliate means any agent or employee of any Borrower or any other Relevant Party or any person having a contractual relationship with any Borrower or any other Relevant Party in connection with any Relevant Ship or its operation or the carriage of cargo and/or passengers thereon and/or the provision of goods and/or services on or from any Relevant Ship;
