Maximum Number of Warrant Shares definition

Maximum Number of Warrant Shares means, initially, 15,813,847 Common Shares; provided that the Maximum Number of Warrant Shares shall be subject to adjustment as follows: (i) if a Termination Event with respect to any portion of the principal amount of any Units occurs prior to April 1, 2024, the Maximum Number of Warrant Shares will be reduced proportionately to reflect the cancellation of the Warrants attached to such aggregate principal amount of Units; (ii) if a Unit Split Date occurs with respect to a portion but not all of the aggregate principal amount of Units, the Maximum Number of Warrant Shares will be proportionately reduced by a number equal to the product of (x) the sum of (A) the number of Warrants separated as a result of the applicable Unit Split Date and (B) the number of Warrants cancelled on account of any cash paid in lieu of delivery of any fractional Warrants as provided in Section 3.08(b) of the Warrant Agreement, and (y) the then applicable Warrant Share Number (as defined in the Warrant Agreement); and (iii) the Maximum Number of Warrant Shares shall also be adjusted at the same time, and in the same manner, as the Warrant Share Number (as defined in the Warrant Agreement) is adjusted in respect of certain anti-dilution adjustments, dividends and other corporate events pursuant to Article IV of the Warrant Agreement.
Maximum Number of Warrant Shares means the maximum number of Warrant Shares transferable to holders of Warrants upon exercise of the Warrants.
Maximum Number of Warrant Shares means, in the event that the Company conducts an offering of its Common Stock on its Principal Market (the "Secondary Offering") upon consummation of such first Secondary Offering after the date hereof, the Maximum Number of Warrant Shares is determined using the following formula: Maximum Number of Warrant Shares = 300,000 ------- (offering price at the Secondary Offering x .75) The number and character of such shares of Common Stock and the applicable Exercise Price per share are subject to adjustment as provided herein.   • The Company hereby agrees to use reasonable best efforts to maintain the listing or quotation of the Common Stock (including the Maximum Number of Warrant Shares) on the Trading Market on which it is currently listed.

  • The Company will at all times reserve and keep available, free from preemptive rights, out of the aggregate of its authorized but unissued Common Stock or its authorized and issued Common Stock held in its treasury, solely for the purpose of enabling it to satisfy any obligation to issue shares of Common Stock upon exercise of this Warrant, the Maximum Number of Warrant Shares.

  • As of the date hereof, the Company has reserved and the Company shall continue to reserve and keep available at all times, free of any Lien other than restrictions on transfer provided for in the Transaction Documents and arising under applicable securities laws, a sufficient number of shares of Common Stock for the purpose of enabling the Company to transfer the Maximum Number of Warrant Shares transferable upon exercise of the Warrants to the holders thereof.

  • The Company has applied to list or quote the Maximum Number of Warrant Shares on the primary Trading Market for the Common Stock.

Maximum Number of Warrant Shares has the meaning set forth in Section 1 hereof, as may be increased from time to time pursuant to Section 3(c) hereof, and as may be adjusted, if appropriate, pursuant to Section 6 hereof.
Maximum Number of Warrant Shares means the maximum number of Warrant Shares transferable to holders of Warrants upon exercise of the Warrants. “OFAC” means the Office of Foreign Assets Control. “Permitted Transfer” shall have the meaning assigned to such term in Section 4.2. “Permitted Transferee” shall have the meaning assigned to such term in Section 4.2. “Proceeding” means an action, claim, suit, investigation or proceeding (including, without limitation, an informal investigation or partial proceeding, such as a deposition), whether commenced or threatened. “Purchaser Party” shall have the meaning ascribed to such term in Section 6.19. “Required Approvals” shall have the meaning ascribed to such term in Section 3.1(c). “Rule 144” means Rule 144 promulgated by the Commission pursuant to the Securities Act, as such Rule may be amended or interpreted from time to time, or any similar rule or regulation hereafter adopted by the Commission having substantially the same purpose and effect as such Rule. “Rule 424” means Rule 424 promulgated by the Commission pursuant to the Securities Act, as such Rule may be amended or interpreted from time to time, or any similar rule or regulation hereafter adopted by the Commission having substantially the same purpose and effect as such Rule “SEC Reports” shall have the meaning ascribed to such term in Section 3.1(g). “Securities” means the Warrants and the Warrant Shares.
Maximum Number of Warrant Shares means, at any date, the maximum number of Warrant Shares transferable to holders of Warrants upon exercise of the Warrants. “Mutual Termination Event” has the meaning set forth in Section 6(c) hereof. “New First Lien Term Loan Facility” means the new term loan facility, to be entered into on the Closing Date, under which the Borrower shall issue the Exchange First Lien Loans. “Open Trade” means a transaction, agreement, or other arrangement, whether done through an oral or written confirmation, under which a Party to this Agreement is entitled or obligated to Transfer or receive a Transfer of any Existing Term Loans, with a trade date on or prior to the applicable date of determination. “Other Released Party” means each of: (a) the Consenting Term Lenders and each of their Affiliates; (b) the predecessors, successors, and assigns of each of the foregoing, and (c) the current and former officers, directors, members, managers, partners, employees, shareholders, agents, attorneys, financial advisors, and other representatives of each of the foregoing, in each case in their capacity as such. “Party” or “Parties” has the meaning set forth in the preamble hereof. “Permitted Transferee” has the meaning set forth in Section 7(a) hereof.
