With respect to Cooperative's provision of electric service to Member- Generator and the services provided by Cooperative pursuant to this Application and Agreement, Cooperative's liability shall be limited to claims, losses, costs and expenses that result from Cooperative's gross negligence or other willful misconduct, shown by clear and convincing evidence, in connection with the operation or maintenance of its electric distribution system.
Member-Generators adding additional capacity to a previously-approved system shall submit the Member Generator System Additional Capacity Interconnection Notice (“Notice”) for review and final approval according to the timelines based on size of the capacity addition in Section I above.
The person or persons taking over operational control of Member-Generator’s System must receive written authorization from Cooperative before the existing Member- Generator System can remain interconnected with Cooperative’s electrical system.
All Applications and Agreements receiving final approval from Cooperative must be acted upon by the Member- Generator within one year of the date of approval.
Member-Generator shall provide a site specific wiring diagram, the plans and specifications describing the net metering, parallel generation, and interconnection facilities (herein collectively referred to as the “Member-Generator’s System”) and submit them to Cooperative as set forth in this Application and Agreement and as may be required under any Member Generator System Additional Capacity Interconnection Notice.
Member- Generator covenants and agrees to operate their system, facilities and equipment so as to minimize the likelihood for a malfunction or other disturbance, damaging or otherwise affecting or impairing Cooperative’s electrical system.
Member- Generator shall comply with all applicable laws, regulations, zoning, building codes, safety rules and other environmental regulations or restrictions applicable to the design, installation, operation and maintenance of the Member-Generator's System.
When this fully completed and executed Member-Generator Application and Agreement receives final approval from Cooperative, it shall become a binding contract and shall govern your relationship with Cooperative in regard to interconnection and net metering of the Member- Generator System.
Inspection — The Corporation may send an employee, agent or contractor to the premises of the Member Generator at any time whether before, during or after the time the DG Facilities first produce energy to inspect the DG Facilities, and observe the DG Facility's installation, commissioning (including any testing), start-up and operation.
Member Generator shall disconnect its DG Facilities from the System upon the effective date of any termination under Section 12.
