The Initiating Holders shall have the right, at any time that the Company is legally eligible to file a Shelf Registration Statement, to elect that a Demand Registration be made pursuant to a Shelf Registration Statement (a “Shelf Demand”); provided, that each registration made pursuant to a Shelf Demand must include Registrable Securities in an amount not less than the Minimum Demand Amount.
If, as a result of such withdrawal, the amount of Registrable Stock to be included in the offering is less than the Minimum Demand Amount, the Company shall not be required to proceed with such offering.
Upon the written request of any Holder received by the Company no later than ten (10) days after the date of receipt of the Company's notice, the Company shall use its reasonable efforts to cause to be registered under the Securities Act all of the Registrable Stock that each such Holder has so requested to be registered; provided that the amount of Registrable Stock included in such registration shall be equal to at least the Minimum Demand Amount but not more than the Maximum Demand Amount.
The Holders shall have a one-time right to demand registration of an offering under the Securities Act of not more than the Maximum Demand Amount and not less than the Minimum Demand Amount (the “Demand Right”).
Any Holders notified about an Underwritten Offering by the Partnership after the Partnership has received the corresponding Underwritten Offering Notice may participate in such Underwritten Offering, but shall not count toward the Minimum Demand Amount to request an Underwritten Offering pursuant to an Underwritten Offering Notice.
