Minimum Demand Amount definition

Minimum Demand Amount means an amount of Registrable Securities that either (i) is equal to or greater than 500,000 shares of Common Stock (as such number may be adjusted hereafter to reflect any stock dividend, subdivision, recapitalization, reclassification, split, distribution, combination or similar event) or (ii) has an Aggregate Offering Price of at least $5 million.
Minimum Demand Amount has the meaning specified in clause (i) of the definition ofServicer Termination Event” in this Section 1.01(b).
Minimum Demand Amount means an amount of Registrable Securities that (i) is equal to or greater than 1,000,000 shares of Common Stock (as such number may be adjusted hereafter to reflect any stock dividend, subdivision, recapitalization, reclassification, split, distribution, combination or similar event) and (ii) has an Aggregate Offering Price of at least $100 million.

  • The Initiating Holders shall have the right, at any time that the Company is legally eligible to file a Shelf Registration Statement, to elect that a Demand Registration be made pursuant to a Shelf Registration Statement (a “Shelf Demand”); provided, that each registration made pursuant to a Shelf Demand must include Registrable Securities in an amount not less than the Minimum Demand Amount.

  • If, as a result of such withdrawal, the amount of Registrable Stock to be included in the offering is less than the Minimum Demand Amount, the Company shall not be required to proceed with such offering.

  • Any Holders notified about an Underwritten Offering by the Partnership after the Partnership has received the corresponding Underwritten Offering Notice may participate in such Underwritten Offering, but shall not count toward the Minimum Demand Amount to request an Underwritten Offering pursuant to an Underwritten Offering Notice.


More Definitions of Minimum Demand Amount

Minimum Demand Amount has the meaning set forth in Section 3(a).
Minimum Demand Amount means Twenty Percent (20%) of the aggregate Registrable Securities collectively held by all Holders.
