Minimum Option Price definition

Minimum Option Price means $50,000.
Minimum Option Price has the meaning set forth in Section 9.3(b)(ii).
Minimum Option Price means a sum equal to the following: (i) any and all hard and soft development and or acquisition costs actually paid to third parties by the Hersha Affiliates that were necessary and/or appropriate for the acquisition of the Hotel Property and/or Hotel Construction of the subject Hotel Property, (ii) all independent third party interest expenses incurred by or in connection with the acquisition or development of the subject Hotel Property that, in accordance with the Internal Revenue Code of 1986, as amended, and the rules and regulations promulgated in connection therewith, are properly capitalized, (iii) to the extent not provided for in (i) and (ii) above, the cash contribution of and unpaid advances by the owners of the subject Hotel Property, including any cash contribution of and advances by the Hersha Affiliates, and (iv) a cumulative, non-compounded return on the cash investment or advances (less any interest actually paid with respect to such advances) of the owners of the subject Hotel Property from the date such cash is invested or advanced, together with interest thereon equal to the prime rate plus five percent (5%). For purposes of this section, the "prime rate" shall be the prime rate as reported in The Wall Street Journal, Eastern Edition, from time to time. The Minimum Option Price shall be calculated by the Hersha Affiliates and set forth in a certificate delivered to the Partnership and certified as true and correct by the Hersha Affiliates upon the written request of the Partnership from time to time. The Minimum Option Price shall not include any finder's fee, brokerage fee, development fee, management fee or other compensation paid to the Hersha Affiliates.

Examples of Minimum Option Price in a sentence

  • At Expiration (the end of the Initial Term or any Renewal Term, in either case without further renewal, if permitted), the amount in Column 1 (Early Termination Fee) shall be deemed to be zero (0) and the amount in Column 2 (Minimum Option Price) shall be the amount applicable for the year then ending.

  • If WPHC and Feld are unable to determine th▇ ▇▇tion Price by the Option Closing Date, then WPHC shall pay Feld the Minimum Option Price a▇ ▇▇timated by WPHC in its good faith judgment.

  • If WPHC and ▇▇▇▇ are unable to determine the Option Price by the Option Closing Date, then WPHC shall pay ▇▇▇▇ the Minimum Option Price as estimated by WPHC in its good faith judgment.

  • Notwithstanding the previous sentence, 7th Level shall be entitled (but not obligated) to set a minimum price per share for the Additional Purchase Price (the "Minimum Option Price") in its 7th Level Notice (as defined below); provided, however, that such Minimum Option Price shall not exceed the Closing Price for the trading day immediately prior to the 7th Level Notice Date.

  • With respect to each Hotel Property other than the Hampton Inn, Danville, Pennsylvania, if the Minimum Option Price exceeds the Fair Market Value, the Partnership shall have the right to terminate the Acquisition Agreement within ten (10) days following receipt by the Partnership of the determination of Fair Market Value.

  • With respect to each Hotel Property other than the Hampton Inn, Danville, Pennsylvania and the Sleep Inn, Pittsburgh, Pennsylvania, if the Minimum Option Price exceeds the Fair Market Value, the Partnership shall have the right to terminate the Acquisition Agreement within ten (10) days following receipt by the Partnership of the determination of Fair Market Value.

  • If WPHC and Feld are unable to determine the Option Price by the Option Closing ▇▇▇e, then WPHC shall pay Feld the Minimum Option Price as estimated by WPHC in its good fait▇ ▇▇dgment.

  • If WPHC and Feld are unable to determine the Option Price by ▇▇▇ Option Closing Date, then WPHC shall pay Feld the Minimum Option Price as estimated by WP▇▇ ▇n its good faith judgment.

  • Failure by Madison Member to respond to a Plymouth Option Notice within ten (10) Business Days receipt thereof shall be deemed an election by Madison Member to accept the Minimum Option Price.

  • If a Minimum Option Price is specified in such notice and is in excess of the Additional Purchase Price that otherwise would be paid, then the 7th Level Notice with respect to such Additional Right, and any transaction relating thereto, will be null and void without further obligation of either party.

Related to Minimum Option Price

  • Aggregate Option Exercise Price means an amount equal to the aggregate dollar amount of the exercise price on all Company Options outstanding immediately prior to the Effective Time.

  • Option Price means the price at which a Share may be purchased by a Participant pursuant to an Option.

  • Exercise Price Per Share ; hereinafter "Exercise Price" means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.
