If any transferee of Party A’s rights and obligations under sub-paragraph (i)(B) or any guarantor of Party A’s rights and obligations under sub-paragraph (i)(C) does not have the Minimum Ratings, such transferee or guarantor shall transfer credit support in accordance with the provisions of the ISDA Credit Support Annex with effect from the date of appointment of such transferee or guarantor.

The Parties acknowledge that the obligations of any Porch Group Member to (i) appoint and utilize Aon Re as an exclusive reinsurance broker, (ii) purchase reinsurance or (iii) maintain Minimum Ratings are and remain subject to (x) limitations imposed by Applicable Law and (y) the proper exercise of fiduciary duties by the directors and officers of such Porch Group Members.
Notwithstanding anything else provided herein, in the event that upon expiration of such 60-day period the ratings on the Notes are not at least equal to the Minimum Ratings, the initial interest rate on the Notes will permanently increase by 0.5% per annum to 12 1/2% per annum, which increase in the interest rate (to the extent of such 0.5% per annum) shall be payable through the issuance of additional Notes ("PIK Notes") semi-annually in arrears on each Interest Payment Date.
The “Pre-Maturity Test” will be breached if on any Montreal Business Day (each a “Pre- Maturity Test Date”) the ratings of the Issuer’s unsecured, unsubordinated and unguaranteed debt obligations, or issuer default rating of the Issuer, as applicable, fall below the Pre-Maturity Minimum Ratings (as defined below) and a Hard Bullet Covered Bond is due for repayment within a specified period of time thereafter.
Notwithstanding the foregoing, in the event that any Porch Group Member does not appoint and utilize Aon Re as an exclusive reinsurance broker, purchase reinsurance or maintain Minimum Ratings as provided in this Agreement, then the sole and exclusive remedy available to Aon shall be a refund by Porch of Aon Payments paid to Porch and its Affiliates and the Relationship Dividend as set out in Section 2.04(c).
