Minimum Ratings definition

Minimum Ratings means, with respect to any Loan Asset, a rating of CCC by S&P and Caa2 by Moody’s.

  • If any transferee of Party A’s rights and obligations under sub-paragraph (i)(B) or any guarantor of Party A’s rights and obligations under sub-paragraph (i)(C) does not have the Minimum Ratings, such transferee or guarantor shall transfer credit support in accordance with the provisions of the ISDA Credit Support Annex with effect from the date of appointment of such transferee or guarantor.

  • The Parties acknowledge that the obligations of any Porch Group Member to (i) appoint and utilize Aon Re as an exclusive reinsurance broker, (ii) purchase reinsurance or (iii) maintain Minimum Ratings are and remain subject to (x) limitations imposed by Applicable Law and (y) the proper exercise of fiduciary duties by the directors and officers of such Porch Group Members.

More Definitions of Minimum Ratings

Minimum Ratings means (i) with respect to a Broadly Syndicated Loan Asset, a rating of B- by S&P and B3 by Moody’s, and (ii) with respect to any Loan Asset that is not a Broadly Syndicated Loan Asset, a rating of CCC by S&P and Caa2 by Moody’s.Demand Amount” has the meaning specified in clause (i) of the definition ofServicer Termination Event” in this Section 1.01(b).
Minimum Ratings means, with respect to the unsecured and unsubordinated debt obligations of a Swap Counterparty (or, if applicable, its Credit Support Provider):

Related to Minimum Ratings

  • Minimum Rating means a minimum senior unsecured debt rating (or, if unavailable, corporate or issuer rating) as defined in Section 5.4(a).

  • Minimum Rate With respect to each ARM Loan, the rate per annum set forth in the related Mortgage Note as the minimum Note Rate thereunder. The Minimum Rate as to each ARM Loan is set forth on the related Mortgage Loan Schedule.
