Note Option definition

Note Option has the meaning set forth in paragraph 4.1 below.
Note Option means the option under the Offer to receive $6.60 in cash payable on the Effective Date and $6.60 in cash payable at each of the first, second, third and fourth anniversary of the Effective Date, together with interest as described herein, with the right to receive the payments due after the Effective Date being evidenced by an Installment Note.
Note Option reads "Note Option and Share Option." Exhibit "B" to the Stock Purchase Agreement is hereby amended and replaced in its entirety by Exhibit "B" attached hereto. All other provisions of the Stock Purchase Agreement shall remain in full force and effect. This Amendment may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute on and the same instrument.

Examples of Note Option in a sentence

  • In the event that any of the Limited Partners elect the Note Option, the number of American Spectrum Common Shares allocated to the Merging Entity will be reduced in accordance with the final Prospectus/Consent Solicitation Statement.

  • Notwithstanding Section 4.1 above and subject to the limitations described herein, those Limited Partners who, in connection with the Merger, affirmatively elect the Note Option shall receive notes (the "Notes").

  • The purchase price for all or a portion of the shares of a Withdrawing Shareholder in connection with a Voluntary Withdrawal of a Shareholder may be paid by the Company or a Remaining Shareholder, as the case may be and in such purchaser’s sole discretion, using the Promissory Note Option.

  • The purchase price for all or a portion of the shares held by a Divorced Shareholder’s Spouse may be paid by the Company or a Remaining Shareholder, as the case may be and in such purchaser’s sole discretion, using the Promissory Note Option provided, that an promissory note may provide for equal monthly amortized payments up to a maximum of one hundred twenty (120) months.

  • Upon expiration of the Term of this Agreement, Vyvx's IRU's, IRU leases, Cash Option and Note Option, shall immediately terminate (except to the extent they have already expired or terminated) and all rights of Vyvx to use the IXC System, or any part thereof, shall cease and IXC shall owe Vyvx no additional duties or consideration.

  • The purchase price for all or a portion of the shares of a Deceased Shareholder pursuant to Section 5.4 may be paid by the Company or a Remaining Shareholder, as the case may be and in such purchaser’s sole discretion, using the Promissory Note Option.


More Definitions of Note Option

Note Option shall have the definition set forth in the Article entitled Option to Acquire IRU's and Consideration.

Related to Note Option

  • Substitute Option means an Option granted in substitution for, or upon the conversion of, an option granted by another entity to purchase equity securities in the granting entity.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Repurchase Option has the meaning set forth in Section 1.3(a) hereto.

  • Director Option means an Option granted pursuant to Section 6.

  • New Convertible Notes means the Company’s 5.0% Senior Unsecured Convertible Notes due 2023.
