Number of Class B Directors definition

Number of Class B Directors shall have the meaning ascribed thereto in the Certificate.
Number of Class B Directors means, as of any date, the number set forth below opposite the total number of shares of Class B Stock Beneficially Owned collectively by the Class B Stockholders on a Fully-Diluted Basis (such share number being appropriately adjusted to reflect any stock split, combination, reclassification, recapitalization or similar transaction involving the Class B Stock, including a stock dividend or distribution in the form of shares of Class B Stock pursuant to Section 6 hereof):

Related to Number of Class B Directors

  • Series B Director means any director of the Company that the holders of record of the Series B Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.

  • Preferred Directors means, collectively, the Series A Directors and the Series B Director.

  • Preferred Director means any director of the Company that the holders of record of the Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.

  • Regular ballot means a ballot that is not a provisional ballot.

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.
