Following Admission, Hoare Govett shall make or procure payment in immediately available funds to ABN (or as ABN shall reasonably direct) of an amount equal to the gross proceeds of the Placing (being an amount equal to the Tender Price multiplied by the number of Placing Shares), so as to be received within 3 business days of the US Offer Unconditional Date.
