Offtake Contract definition

Offtake Contract means the agreement dated December 21, 2001 between Petrobras Finance and the Offtaker and in respect of any additional issuances of Series of Senior Trust Certificates, any other offtake agreement, pursuant to which, in each case, Petrobras Finance will agree to Sell, and the Offtaker will agree to buy, Eligible Products and, if applicable, any hedging arrangements entered into in connection with such other offtake agreement; provided, however, that if a hedging arrangement is in a form other than an offtake agreement, it must be in form and substance satisfactory to the Enhancers.

Offtake Contract means collectively (i) the agreement dated December 21, 2001 (as amended by the letter agreement dated as of May 16, 2003) between Petrobras Finance and Citibank, N.A., as Offtaker; (ii) the agreement dated as of May 21, 2003 between Petrobras Finance and Citibank, N.A., as Offtaker, and (iii) in respect of any additional issuances of Series of Senior Trust Certificates, any other offtake agreement substantially in the form of the agreements in clause (i) and (ii) (except for the floor price), pursuant to which Petrobras Finance will agree to Sell, and the Offtaker will agree to buy, Eligible Products and, if applicable, any hedging arrangements entered into in connection with such other offtake agreement; provided, however, that if a hedging arrangement is in a form other than an Offtake Contract, it must be in form and substance satisfactory to the Enhancers.

More Definitions of Offtake Contract

Offtake Contract means any contract between a Trader as seller and an Offtaker as purchaser for the sale of Products.
Offtake Contract means each agreement for the sale or other disposal, including delivery of Products for the purpose of refining and smelting, entered into between the Borrower as seller and an Approved Offtaker as buyer;
Offtake Contract means any contract, arrangement or understanding entered into by the Operator arising from or in connection with: electricity imported and/or exported by the Project; the supply of Ancillary Services by the Project; the availability or use of the Rated Capacity, Registered Capacity or Maximum Capacity of the Project; and/or the availability or use of the energy Storage Capacity of the Project. To avoid doubt, without limitation an Offtake Contract may take the form of: a purchase contract; subject to clause 9.5, a tolling contract, a lease or such other arrangement as gives a third party the economic benefit of the Project for a period of time; an underwriting arrangement in respect of the profit or revenue of the Project or the Operator; and/or a derivative, forward, option or any such combination where the consideration under it is derived by reference to electricity, Capacity Products or Green Products. Operational Revenue means, in respect of a period, the revenue of the Operator determined on a cashflow basis in that period (without double counting), including amounts: from the sale of electricity, ▇▇▇▇▇▇ arising from or in connection with the Project and/or the Project (excluding interest rate and foreign currency ▇▇▇▇▇▇), Capacity Products or Green Products; from the supply of Ancillary Services, Network Support Services or System Support Services; to the extent not referred to above, under an Offtake Contract; to the extent not referred to above, from AEMO (in its capacity as a market body) in respect of the Facility in accordance with the NEL and NER, but excluding: amounts which the Commonwealth is obliged to pay to the Operator under this Agreement; damages to which the Operator is entitled under a Construction Contract or a contract for the operation and/or maintenance of the Facility (except to the extent those damages compensate for loss of revenue and/or profit); and amounts to which the Operator is entitled under or in connection with an insurance policy (other than amounts which compensate for loss of revenue and/or profit).
Offtake Contract has the meaning set forth in Appendix A.
Offtake Contract means the 2010-2030 Rail Products Supply Contract dated 13 November 2008 made between the Company and OJSC RZhD, as amended from time to time. OJSC RZhD means Open Joint Stock Company Russian Railways.
