A vacancy in the office of Operating Manager arising from any cause may be filled for the unexpired portion of the term by the Members.
A list of Members as of the record date, certified by the Operating Manager of the Company shall be prepared for every meeting of Members and shall be produced by the Operating Manager thereat.
