Option Agent definition

Option Agent means U.S. Bank Trust National Association, in its capacity as option agent appointed under this Agreement, or any successor in such capacity.
Option Agent means The Bank of New York, in its capacity as option agent appointed under this Agreement, or any successor in such capacity.

  • The Option Agent shall not be liable except for the failure to perform such duties as are specifically set forth in this Agreement, and no implied covenants or obligations shall be read into this Agreement against the Option Agent, whose duties shall be determined solely by the express provisions of this Agreement.

  • The Option Agent shall promptly notify the Depositor and the Trustee in writing of any claim made or action, suit or proceeding instituted against it arising out of or in connection with this Agreement.

  • Solely for the purposes of this Section, Market Price shall be calculated either (i) on the date on which the form of election attached hereto is deemed to have been sent to the Option Agent pursuant to Section 13 hereof ("Notice Date") or (ii) as the average of the Market Price for each of the five trading days immediately preceding the Notice Date, whichever of (i) or (ii) results in a greater Market Price.

  • The manner of obtaining and evidencing the authorization of the execution of such consents shall be subject to such reasonable regulations as the Option Agent may prescribe.

  • All covenants and agreements contained herein shall be binding upon the Depositor, the Trustee, and each Certificateholder and their respective successors and permitted assigns, and such covenants shall inure to the benefit of such persons and the Option Agent and the holders of the Call Options, all as herein provided.

  • The provisions of this Agreement are solely for the benefit of the Trustee, the Depositor, the Option Agent, the Certificateholders and the holders of the Call Options, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Trust Assets or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

  • Subscription Agent shall have the meaning set forth in Section 6(a)(iv) hereof.

  • Co-Syndication Agent means each of Bank of America, N.A., Branch Banking and Trust Company and ▇▇▇▇▇ Fargo Bank, N.A. in its capacity as syndication agent for the credit facility evidenced by this Agreement.

  • Determination Agent means Calculation Agent Services LLC and any successor or replacement thereto or any other entity appointed as determination agent in accordance with the terms of the Determination Agency Agreement.

  • Quotation Agent means the Reference Treasury Dealer appointed by the Company.

  • Valuation Agent means Party A in all circumstances.
