If the Company at any time after the Option Grant Date subdivides (by any stock split, stock dividend, recapitalization or otherwise) one or more classes of its outstanding shares of Common Stock into a greater number of shares, the Exercise Price in effect immediately prior to such subdivision will be proportionately reduced and the number of shares of Common Stock obtainable upon exercise of this Option will be proportionately increased.
This Option is granted as of September 24, 1999 (the "Option Grant Date").
This Option shall expire on the day before the tenth anniversary of the Option Grant Date, unless sooner terminated as provided in the Plan and this Agreement and may be exercised during such term only in accordance with the Plan and this Agreement.
If the Company at any time after the Option Grant Date combines (by combination, reverse stock split or otherwise) one or more classes of its outstanding shares of Common Stock into a smaller number of shares, the Exercise Price in effect immediately prior to such combination will be proportionately increased and the number of Exercisable Shares issuable upon exercise of this Option will be proportionately decreased.
The Company does not have any liability in respect of any Company Option that was granted with a per share exercise price that was less than the fair market value of a share of Company Common Stock on the applicable Company Option Grant Date, and the Company has not granted any Company Options that are subject to the provisions of Section 409A of the Code.
