Oracle Materials definition

Oracle Materials means all Oracle-owned materials, software, technology, services, platform, Identity Persistence Mechanisms, and any work products, and any enhancements to the foregoing, that Oracle makes available to You in connection with this Agreement. Oracle Materials does not include Oracle Data.
Oracle Materials shall be defined as software, hardware equipment (including, components and spare parts thereto), documentation, code, tools, training materials, utilities, and methodologies developed by or for Oracle or the applicable Client, or otherwise owned or licensed by Oracle or the applicable Client, including all processes, data, information, techniques, concepts, procedures and tables embodied or contained in such materials, and all improvements, fixes, releases, spare parts, diagnostics, updates and Intellectual Property Rights related thereto.

Examples of Oracle Materials in a sentence

  • Oracle or its licensors retain all ownership and intellectual property rights in and to the Services and Oracle Materials, derivative works thereof, and anything developed or delivered by or on behalf of Oracle under this Agreement.

  • During the Services Period, Oracle may update the Services and Service Specifications to reflect changes in, among other things, laws, regulations, rules, technology, industry practices, patterns of system use, and availability of Oracle Data and Oracle Materials; however, Oracle’s changes to the Services or the Service Specifications will not result in a material reduction in the level of security of the applicable Services provided to You for the duration of the Services Period.

  • Team has no Liability or obligation to pay any fees or commissions to any broker, finder, or agent with respect to the transactions contemplated by this Agreement for which any Seller could become liable or obligated.

  • Neither Provider nor its Resources will remove any proprietary rights, notices or other Oracle or Client, as applicable, logos or identifiers attached to the Oracle Materials.

  • Provider will reimburse Oracle for any loss or damage to the Oracle Materials sustained during the time such Oracle Materials are in their possession or control, except for reasonable wear and tear.

  • With respect to Oracle Materials that are hardware equipment or tools (e.g., laptops, spare parts, etc.), all such Oracle Materials that Provider returns to Oracle must include the same components as received by Provider, and must be in good operating order and condition.

  • Oracle will, at Oracle’s expense, indemnify and defend Client from and against any liabilities, losses, damages, costs, and expenses resulting from a third-party claim that the Oracle Materials infringes or misappropriates any U.S. patent issued as of the Effective Date or any copyright or trade secret of a third party during the term of the Agreement so long as Client follows the procedure set forth in Section 10.1, above.

  • Provider further agrees that it will take no action to vest or assert title or other ownership or intellectual property interest in the Oracle Materials in Provider.

  • All other rights in and to the Oracle Materials are expressly reserved by Oracle.

  • Notwithstanding the foregoing and as an exception, Provider may use Oracle’s or a Client’s facilities and Oracle Materials (as defined in section 18 (Oracle Materials) below) to the extent specified in a Statement of Work, or otherwise expressly required by Oracle to perform Services under this Agreement.

Related to Oracle Materials

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.
