At any time commencing five (5) years after the Original Series A Issue Date, if a Qualified Public Offering has not been consummated, any holder of Series A Preference Shares may, upon written request to the Company (a “Redemption Notice”), require that the Company redeem some or all of such holder’s then outstanding Series A Preference Shares, in accordance with the following terms.
If, after the Original Series A Issue Date, the Company shall issue Additional Ordinary Shares for a consideration per share (the “Future Issuance Price”) less than the Series A Conversion Price in effect on the date of, and immediately prior to, such issuance, then and in such event, the Series A Conversion Price shall be reduced concurrently with such issuance to a price equal to the Future Issuance Price.
If the Corporation shall at any time or from time to time after the Original Series A Issue Date effect a subdivision of the outstanding Common Stock, the Series A Conversion Price in effect immediately before that subdivision shall be proportionately decreased.
If the Corporation shall at any time or from time to time after the Original Series A Issue Date effect a subdivision of the outstanding Common Stock without a corresponding subdivision of the Series A Preferred Stock or pay a Common Stock dividend on the outstanding Common Stock without a corresponding proportionate dividend on the outstanding Series A Preferred Stock, the Conversion Price in effect immediately before that subdivision shall be proportionately decreased.
Conversely, if the Corporation shall at any time or from time to time after the Original Series A Issue Date combine the outstanding shares of Common Stock into a smaller number of shares without a corresponding combination of the Series A Preferred Stock, the Conversion Price in effect immediately before the combination shall be proportionately increased.
