The price at which shares of Common Stock shall be deliverable upon conversion of Series D Preferred (the “Series D Conversion Price”) shall initially be the Original Series D Issue Price.
In addition, immediately upon the vote by or written consent of holders of not less than two-thirds (2/3) of the then outstanding shares of Series D Preferred Stock, each share of Series D Preferred Stock shall automatically be converted into such number of fully paid and nonassessable shares of Common Stock determined by dividing the Original Series D Issue Price by the then-effective Conversion Price for the Series D Preferred Stock.
As used herein, the “Series D Conversion Threshold Price” shall mean 2.0 times the Original Series D Issue Price (as adjusted for any stock dividends, combinations, splits, reorganizations, recapitalizations, reclassifications or other similar events with respect to the Series D Preferred Stock).
For purposes hereof, the “Minimum Amount” means the lesser of (A) 2.0 times the Original Series D Issue Price (as adjusted for any stock dividend, stock distributions, combinations, consolidations or splits with respect to such shares) and (B) the Original Series D Issue Price (as adjusted for any stock dividend, stock distributions, combinations, consolidations or splits with respect to such shares) plus the Liquidation Increment as of the date of such conversion.
The Original Issue Price for the Series D Preferred Stock (the "Original Series D Issue Price") is $5.00 per share.
