Partial Redemption Amount definition

Partial Redemption Amount means the net realised sale proceeds (converted by the Conversion Agent to the Common Currency at prevailing foreign exchange rates) of the Collateral in respect of which a Collateral Credit Event has occurred plus (if such amount is due from the Swap Counterparty to the Issuer) or, as the case may be, minus (if such amount is due from the Issuer to the Swap Counterparty) the Partial Swap Termination Amount divided by the number of outstanding Notes and subject to a minimum of zero;
Partial Redemption Amount. As defined in Section 7.10(d).
Partial Redemption Amount means, in respect of each Qualifying Noteholder, an amount (rounded down to the nearest U.S.$1,000) equal to 8 per cent. of the Qualifying Notes held by such Qualifying Noteholder;

Examples of Partial Redemption Amount in a sentence

  • In order to effect the MAP Partial Redemption, MAP shall have available for distribution at Closing accounts receivable, each with a Federal income Tax basis no less than its face amount, of MAP with a total Value equal to the AR Amount (calculated without giving effect to any increase in the MAP Partial Redemption Amount pursuant to the second sentence of Section 1.01).

  • In the event that Marathon makes the determination contemplated by the immediately preceding sentence, any resulting increase in the MAP Partial Redemption Amount shall be payable in any combination of cash and accounts receivable of MAP as determined by Marathon.

  • If at any time Marathon determines that it is reasonably likely to direct MAP to increase the MAP Partial Redemption Amount pursuant to the second sentence of this Section 1.01, Marathon shall provide prompt notice of such determination to Ashland, including a good faith estimate of any such increase.


More Definitions of Partial Redemption Amount

Partial Redemption Amount means, in respect of a Partial Redemption Date, the amount specified as such corresponding to such Partial Redemption Date in the Issue Terms.
Partial Redemption Amount means, in respect of a Partial Redemption Date, (a) if any Notes are to be redeemed as a result of the Aggregate Outstanding Principal Amount of the Notes exceeding the Fixed Rate Payer Calculation Amount under the Default Swap, an amount not less than the relevant Excess Nominal Amount and equal to the lowest multiple of the Denomination of the Notes or (b) if any Notes are to be redeemed as a result of a termination in part only of the Default Swap on an Additional Optional Early Termination Date, an amount not less than the Proportionate Termination Amount and equal to the lowest multiple of the Denomination of the Notes.
