Per Share Net Proceeds means the per share proceeds to the Selling Stockholders (before Stockholder Offering Expenses and net of the Per Share Underwriting Discount) from the Proposed Secondary Offering as set forth on the cover page of the prospectus supplement relating to the Proposed Secondary Offering.

Per Share Net Proceeds means, with respect to an Asset Sale Transaction, the amount obtained by dividing (i) the Net Proceeds from such Asset Sale Transaction by (ii) the total number of shares of Series A Preferred Stock outstanding as of the record date fixed in connection with the applicable Net Proceeds Dividend.

  • Per Share Cash Amount for purposes of this Section 2(b) means an amount equal to the sum of (I) the average of the closing price of the Common Stock for the 20 trading days immediately preceding the date of the Change in Control and (II) any cash dividend payable on a share of Common Stock during the 20 trading-day period described in the foregoing.
