Performance Distribution definition

Performance Distribution means each distribution made to the General Partner under this Agreement, pursuant to Section 5.1 and the portion of distributions made pursuant to Section 8.3(d)(iii) that are made in accordance with Section 5.1.
Performance Distribution has the meaning set forth in Section 5.2(b).
Performance Distribution with respect to any Series, shall have the meaning provided by Section 5.6(d) hereof.

  • The General Partner may, in its sole discretion, elect to receive less than the full amount of any Performance Distribution to which it is otherwise entitled under this Agreement with respect to one or more Limited Partners.

Related to Performance Distribution

  • Performance Date means December 31, 2022. If the Locality, in consultation with the Authority and VEDP, deems that good faith and reasonable efforts have been made and are being made by the Company to achieve the Targets, the Locality may, prior to the then-current Performance Date, request an extension of the Performance Date by up to 15 months. Any extension of the Performance Date shall require the prior approval of the Board of Directors of VEDP (the “Board”). If the Performance Date is extended, the Locality shall send written notice of the extension to the Authority, the Company and VEDP and the date to which the Performance Date has been extended shall be the “Performance Date” for the purposes of this Agreement.

  • Final Award means, in the context of this Request for Proposals and all its attendant documents, that point at which the final required signature on the contract(s) resulting from the procurement has been affixed to the contract(s) thus making it fully executed.
