Performance Event definition

Performance Event means on any Offer Date of the relevant Additional Portfolio, each of the following events:

Performance Event means the occurrence and continuation of one of the events set forth on Exhibit C hereto.

Performance Event means the failure of Pioneer to be in compliance with any of the covenants set forth in Paragraph 4, 5, 6, 7, 8 and 9 of Section VIII hereof, such compliance to be determined by the Banks as of the last Business Day of each March, June, September and December by reference to Compliance Certificates delivered to the Banks by Pioneer pursuant to Section VIII (10) hereof.

Examples of Performance Event in a sentence

Notice of the occurrence of any Event of Termination, Unmatured Event of Termination, Collection Control Event, Non-Reinvestment Event, Amdocs Performance Event or Amdocs Event not later than two (2) Business Days after such event occurs.
In addition, each such Major Performance Event shall constitute a Default for which Performance Event Credits shall be awarded by Provider to the applicable Recipient Party pursuant to Section 3.2 of this Schedule 4.1.
In the event of any such redelivery, the Banks shall have the right to possession of such stock in accordance with the terms of this Agreement at any time and from time to time thereafter upon the future occurrence of any Performance Event.
In each case that Recipient reasonably determines that the actual TPV processed by Provider in connection with the Services and/or Platform is less than ninety percent (90%) of the corresponding Predicted TPV over the course of any ten (10) minute period during the Term (each a “Minor Performance Event”), Recipient shall notify Provider and Provider shall use commercially reasonable efforts to resolve such Minor Performance Event and any issue or Incident related thereto as soon as reasonably practicable.
In each case that Recipient reasonably determines that the actual TPV processed by Provider in connection with the Services and/or Platform is less than eighty percent (80%) of the corresponding Predicted TPV over the course of any twenty (20) minute period during the Term (each, a “Major Performance Event”), Recipient shall notify Provider and Provider shall use commercially reasonable efforts to resolve such Performance Event and any issue or Incident related thereto as soon as reasonably practicable.

More Definitions of Performance Event

Performance Event has the meaning given in clause 11.1(a).

Performance Event shall occur if, for two (2) consecutive calendar years, the compound annual growth rate of the Company’s same-store NOI is more than six hundred (600) basis points below the average compound annual growth rate of the Peer Group’s same-store NOI growth during such applicable periods where such average is calculated by adding the actual compound annual growth rate of each Peer Group member’s same-store NOI growth and dividing such amount by the total number of Peer Group members.

Performance Event means any of the events described in clause 17.2 (Termination by TfNSW for cause).

Performance Event means, at any time on or before December 31, 2015, but before the Company raises cumulatively $90,000,000 through a financing or series of financings, the Company’s consummation of a transaction resulting in a merger, sale of equity to a strategic partner at a price greater than then current Fair Market Value as defined in the 2013 Plan (as defined below), sale of assets, partnering, joint venture or licensing transaction, in each case yielding sufficient net cash proceeds to the Company to reduce the Company’s capital needs to complete the REGULATE-PCI study by at least $45,000,000, as determined by the Board of Directors or the Compensation Committee. For the avoidance of doubt, the Executive shall only be eligible to receive one Performance Event Bonus (i.e., in no event is the Executive eligible to receive a Performance Event Bonus for both 2014 and 2015). If the Executive does not become entitled to the Performance Event Bonus for 2014 or 2015, then he shall remain eligible for the regular Annual Bonus for 2014 and 2015 in accordance with the terms provided herein.”

Performance Event means the first commercial sale of the Product.

Performance Event has the meaning given in item 5.4 of Schedule 2 (“Annuity Product terms”).

Performance Event has the meaning given in clause 4.4(a).
