Buyer shall execute and deliver any Article Nine of the Uniform Commercial Code and/or Personal Property Security Act (Ontario) and/or Repair and Storage Liens Act (Ontario) ("RSLA") Financing Statements, or other instruments, whether under the laws of Ontario or any State and perform all acts which may be desirable for the perfection and continuation of Company's security interest hereunder.
For purposes of the Securities Transfer Act (Ontario), the Personal Property Security Act (Ontario) and any similar legislation in any other jurisdiction (a) the jurisdiction of the Custodian, as securities intermediary with respect to the Funds is the Province of Ontario, (b) the Portfolio and all securities, margin, deposit and other accounts which forms part of the Portfolio are “securities accounts”, and (c) any property of any nature whatsoever credited to the Portfolio is a “financial asset”.
Upon Buyer’s Default and ▇▇▇▇▇▇’s written notice thereof to Buyer, every obligation of Seller hereunder shall immediately terminate and Seller shall have all rights and remedies existing at law or in equity, including but not limited to those provided by the Ontario Personal Property Security Act as adopted in Ontario, and Buyer shall reimburse Seller on written demand for any costs or losses sustained or incurred by Seller arising directly or indirectly from the Buyer Default.
