Platform Intellectual Property definition

Platform Intellectual Property means the Intellectual Property and Software used in the conduct of the business of the Platform Entities and their Subsidiaries as it is currently conducted.

As of the Closing Date, the Borrower and its Subsidiaries do not have any Platform Intellectual Property except as listed on Schedule 1.1(d); provided that, such Intellectual Property Rights (including the Intellectual Property Rights listed on Schedule 1.1(d) as may be updated from time to time in the Borrower’s sole discretion) is not necessary or material to the development, Commercialization or manufacture of any Product (Core).
