Preferred Unit Liquidation Preference definition

Preferred Unit Liquidation Preference means the Series A Liquidation Preference, Series B Liquidation Preference or Series E Liquidation Preference, as applicable.
Preferred Unit Liquidation Preference means an amount per Preferred Unit [or Class B Preferred Unit] equal to $0.56.
Preferred Unit Liquidation Preference means the Series A Liquidation Preference or the Series B Liquidation Preference, as applicable. “Preferred Unit Payments” means Series A Payments and/or Series B Payments, as applicable. “Preferred Units” means a Partnership Security, designated as a “Preferred Unit,” which entitles the holder thereof to a preference with respect to distributions over Common Units, including the Series A Preferred Units and the Series B Preferred Units. “Prior Agreement” means the Fourth Amended and Restated Agreement of Limited Partnership of the Partnership dated as of January 1, 2019. “Pro Rata” means (a) when modifying Units (other than Preferred Units) or any class or series thereof, apportioned equally among all designated Units (other than Preferred Units) in accordance with their relative Percentage Interests, (b) when modifying Partners or Record Holders, apportioned among all Partners or Record Holders in accordance with their relative Percentage Interests and (c) when modifying holders of Preferred Units (or a particular series thereof), apportioned equally among all holders of Preferred Units (or such series thereof) in accordance with the relative number or percentage of Preferred Units (or such series thereof), as applicable, held by such holder.

  • Subject to the rights of any applicable Senior Units, each Class A Convertible Preferred Unit shall be entitled to distributions at an annual rate of 2.0% of the Class A Convertible Preferred Unit Liquidation Preference Amount from the date of issuance of such Class A Convertible Preferred Unit (adjusted for any stock split, stock dividend or distribution, reclassification, reorganization, consolidation or similar change or event) (collectively, the “Class A Preferred Distributions”).
