Primary Acquiring Entity definition

Primary Acquiring Entity means any entity that acquires all or substantially all of the stock, assets, or business of Primary (or all or substantially all of the assets or business thereof related, in either case, to this Agreement) or otherwise obtains control of Primary (with “control”, for purposes of this Section 1.37, having the meaning set forth in Section 1.2), or any Affiliate of such an entity.

Related to Primary Acquiring Entity

  • Acquiring Entity means the surviving or acquiring corporation (or its parent company) in connection with a Corporate Transaction.

  • holding entity means a person that is controlled by an individual;

  • Acquiring Corporation means (i) the continuing or surviving corporation of a consolidation or merger with Issuer (if other than Issuer), (ii) Issuer in a merger in which Issuer is the continuing or surviving person, and (iii) the transferee of all or substantially all of Issuer's assets.

  • Non-U.S. Entity means an Entity that is not a U.S. Person.

  • Acquiring Company means a person who obtains Control of the Company;
