Primary Syndication definition

Primary Syndication means any assignments by the Administrative Agent in order to effectuate the initial post-closing syndication made on or prior to the earlier of (a) the date that is ninety (90) days after the Closing Date and (b) the completion of all assignments relating to the completion of a successful syndication.
Primary Syndication means the period commencing on or prior to the Closing Date and ending on the earlier of (a) the date that is 90 days following the Closing Date and (b) the date that the Administrative Agent has declared the primary syndication of the Commitments and Credit Extensions to have ended.
Primary Syndication means the period commencing on or prior to the Amendment Effective Date and ending on the earlier of (i) 90 days after the Amendment Effective Date and (ii) the date that the Joint Lead Arrangers have declared the primary syndication of the Credit Extensions to have ended.

  • During the period of the Primary Syndication, if requested in writing by Bank of America, the Australian Borrower will advise Bank of America, within a reasonable period of time, if the potential offerees disclosed to it by Bank of America are known or suspected by it to be an Offshore Associate of the Australian Borrower or an Associate or any other offeree.

  • Any assignment of the Term Loans pursuant to the Primary Syndication shall be accompanied by the Closing Fee attributable to the portion of the Term Loan so assigned.

  • The Security Agent, the other Secured Parties or the Receiver may, in connection with the exercise of their powers, join or concur with any person in any transaction, scheme or arrangement whatsoever.


More Definitions of Primary Syndication

Primary Syndication has the meaning ascribed thereto in the Fee Letter.
