During the period of the Primary Syndication, if requested in writing by Bank of America, the Australian Borrower will advise Bank of America, within a reasonable period of time, if the potential offerees disclosed to it by Bank of America are known or suspected by it to be an Offshore Associate of the Australian Borrower or an Associate or any other offeree.
Any assignment of the Term Loans pursuant to the Primary Syndication shall be accompanied by the Closing Fee attributable to the portion of the Term Loan so assigned.
