After Affymetrix determines [***] the feasibility of the manufacture of New Process Custom Probe Arrays pursuant to the Work Plan, N-Mer shall have the right to order its requirements of New Process Custom Probe Arrays from Affymetrix, provided that in such orders N-Mer will identify probe sequences for each New Process Custom Probe Array [***].
Buyer agrees that third parties may only receive data from Expression Probe Array Data under (c)(i)-(iii) hereof pursuant to written agreements containing obligations explicitly benefitting AFX that are no less restrictive than those in this Agreement and which require such third party recipients not to sublicense or further distribute or transfer such data.

Buyer is not licensed to, and agrees not to: (a) resell any AFX-supplied Probe Array, reagent or other Product, (b) transfer or distribute any AFX-supplied Probe Array, reagent or other Product, directly or indirectly, to any third party for any purpose or use, except as otherwise approved by AFX in writing; (c) use or allow anyone to use any AFX-supplied Probe Array or reagent more than once, or dilute any AFX-supplied reagent.
BMX shall have responsibility for over-all system planning and development, including, without limitation, instrument development, integrated device development, amplification technology development, DNA Probe Array packaging, regulatory approval and marketing, and shall use commercially reasonable efforts to commercialize products pursuant to this Agreement.
EXHIBIT C Expression Probe Array Use Rights for Service Recipients and Database Subscribers RESTRICTED USE RIGHTS- Purchasers of Services or Database subscribers pursuant to this Agreement ("Buyer") may only use the data from Expression Probe Array services provided hereunder to identify the presence and/or levels of expressed nucleic acid sequences in the ordinary course of Buyer's normal internal pharmaceutical and diagnostic research and development activities, including clinical trials.
All requests by Buyer for replacement of defective Probe Arrays shall consist of an itemized list of the allegedly defective Probe Arrays, including Probe Array type, array lot number, defect classification, expiration date and any other information reasonably deemed pertinent to assist AFX with ongoing quality improvement.
In a manner responsive to over-all planning needs, AFFX shall assume primary responsibility for DNA Probe Array manufacturing process development and DNA Probe Array production, and the Parties shall share the tasks of Probe selection, DNA Probe Array design, optimization and assay development.
In the event that Buyer requests replacement for Probe Arrays in excess of [REDACTED] percent ([REDACTED]%) of the Probe Arrays scanned by Buyer during any one quarterly period, then such Probe Array replacements in excess of [REDACTED] percent ([REDACTED] %) will be subject to the AFX’ Replacement Policy as set forth in Exhibit 7 of the Service Provider Agreement.
