Program Option definition

Program Option has the meaning set forth in Section 11.1(a) of the Amended and Restated Research and Development Agreement.
Program Option shall have the meaning assigned to such term in Section 4.1.1.
Program Option has the meaning set forth in Section 2.1.

Examples of Program Option in a sentence

  • A minimum of four (4) students are required for each course in the Dual Credit Program Option 4: IF, a qualified and approved instructor employed by the District is utilized for a technical dual credit course and the College pays no compensation to the instructor; THEN, both the tuition and the general fees for each student enrolled in that course are waived (e.g. there is NO COST to the student for a College technical dual credit course taught on a high school campus by a high school instructor).

  • No later than [***] days after the date of notification by OncoMed of such offer, GSK shall have the option, at its sole discretion, to exercise the GSK Program Option for such Candidate Selection Compound.

  • Celgene will have the right to exercise the Celgene Program Option with respect to any Drug Candidate Program (including any Follow-On Compound in such Drug Candidate Program) upon Completion of the Clinical Trials set forth in the Initial Development Plan for such Drug Candidate Program (or, with respect to the GI-4000 Program, at such time as is provided in Section 3.3.

  • The impact should be in increased knowledge building, aligned research efforts and better handling of project and R&D bottlenecks.

  • In addition, following the exercise of a Celgene Program Option by Celgene, Celgene, at its sole cost, shall be responsible for the Prosecution of all GlobeImmune Licensed Patents that relate to the Celgene Development Compound (and applicable Program) with respect to which Celgene exercised such Celgene Program Option or to a Licensed Product, but, in either case, excluding any Platform Patents (except as provided in Section 8.2.1).

  • All such information shall be used by Celgene to make its decision on whether to elect to exercise its Celgene Program Option with respect to the applicable Program.

  • If GSK exercises the GSK Program Option with respect to such Candidate Selection Compound, GSK shall thereafter further Develop such Candidate Selection Compound as a GSK Development Compound, subject to the terms of this Agreement, including without limitation GSK’s obligations under Section 9.2 and GSK’s obligation to make payments to OncoMed pursuant to Sections 8.2 and 8.3.

  • After exercise of a Celgene Program Option, upon the request of Celgene and agreement of GlobeImmune, in GlobeImmune’s sole discretion, GlobeImmune may conduct Development activities with respect to the applicable Celgene Development Compound.

  • For clarity, if the intellectual property rights are directed to a Collaboration Compound with respect to which Celgene has exercised its Celgene Program Option and a Collaboration Compound with respect to which Celgene has not exercised its option, Celgene shall nevertheless be entitled to negotiate the license.

  • Celgene shall conduct such activities in compliance with all applicable legal and regulatory requirements, including all legal and regulatory requirements pertaining to the design and conduct of Clinical Trials after exercise of the Celgene Program Option.

Related to Program Option

  • GSK or ‘𝐺𝑆𝐾’ means the generation shift key as defined in Article 2(12) of the CACM Regulation;

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Option means a stock option granted pursuant to the Plan.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.
