  • The Administrative Agent shall not be required to keep itself informed as to the performance or observance by BAFC, the Guarantor or any other Program Party of this Agreement, the other Transaction Documents or any other document referred to or provided for herein or therein or to make inquiry of, or to inspect the properties or books of BAFC, the Guarantor or other Program Parties.

  • I will indemnify and hold harmless Program Parties, from and against any loss, damage, liability or expense, including reasonable attorney’s fees, that any of them may incur by reason of, or in connection with, any misstatement or misrepresentation by me herein or otherwise with respect to my Account, and any breach by me of any of the agreements, representations or warranties contained in this Enrollment Agreement.

  • I agree to hold harmless the Program Parties for any loss, cost, or expense resulting from my instructions reasonably believed to be genuine.

  • Except for any specific warranties provided herein or in additional terms provided by a Program Party, Program Parties hereby further disclaim all warranties, express or implied, including the warranties of merchantability, fitness for a particular purpose, non- infringement or misappropriation of intellectual property rights of third parties, title, custom, trade, quiet enjoyment, system integration, and freedom from computer virus.
