Program Results definition

Program Results means and collectively includes all technical and nontechnical information that ▇▇▇▇ ▇▇▇▇▇ may discover, develop, record, generate, or learn in connection with the conduct of the Research Program, including all reports, formulas, samples, materials, methods, plans, processes, specifications, characteristics, equipment, design, know-how, experimental protocols, and trade secrets and all laboratory notebooks, computer records, and all raw data and other documentation of same.

Examples of Program Results in a sentence

  • In no event will ▇▇▇▇ ▇▇▇▇▇’s and its Affiliates’ total and cumulative liability together of any kind, even for direct damages, arising out of or in connection with this Agreement, the Research Program, the results thereof, Program Results, Program Inventions, Patents and the Materials exceed the total amount of payments actually received from Sponsor under Article 3.

  • Unless otherwise agreed in writing, Program Results will be owned by the party whose employees or agents generated it.

  • Sponsor recognizes that, under the policy of ▇▇▇▇ ▇▇▇▇▇, the Program Results must be publishable and agrees that researchers employed by ▇▇▇▇ ▇▇▇▇▇ who are engaged in the Research Program shall be permitted to present at symposia, national, or regional professional meetings, and to publish in journals, theses or dissertations, or otherwise, in their sole discretion, the methods and results of the Research Program and other Program Results.

  • The parties agree that all Program Results will be shared fully between the parties in a manner consistent with applicable laws, regulations and the requirements of oversight bodies such as institutional review boards or ethics committees.

  • For clarity, in furtherance of the foregoing, AbCellera shall not file any patents covering or claiming any Program Results, Project Antibody(ies) (including Hit(s) or Lead(s)), Candidate Antibodies, or Product(s), except in accordance with Section 7.3.5.

  • For purposes of clarity, Program Results and Product IP assigned to Lilly under this Agreement shall be deemed Lilly Confidential Information and, as such, Lilly may freely use and/or disclose such Program Results and Product IP as it may, in its sole discretion, choose.

  • Company shall have the sole right to publish the Research Program Results.

  • Without limiting the foregoing, Lilly shall have the sole right (but not the obligation) to control the preparation, filing, prosecution and maintenance of Patent Rights claiming Product IP (including any Program Results), including therapeutic methods, pharmaceutical compositions, methods of manufacture, product by process, and also including the genetic sequence of the Project Antibody(ies) (including Hits or Leads), Candidate Antibodies, and Products.

  • AbCellera hereby assigns, in its entirety, all its rights, title and interest in the Program Results, including any and all Intellectual Property Rights related thereto (including any intellectual property that but for this assignment to Lilly would be AbCellera Intellectual Property) but only to the extent such Intellectual Property Rights does not relate to the AbCellera Platform (collectively the “Product IP”) to Lilly.

  • The Parties acknowledge that no warranties are being made with respect to the Intellectual Property Rights, nor are any warranties being made with respect to the Research Program Results or Research Program Inventions.

Related to Program Results

  • Project Results means all data and results of the Project.

  • Research Results means any technical result acquired based on the Collaborative Research, including, but not limited to, any invention, idea, design, copyrightable work and know-how which relates to the purpose of the Collaborative Research.

  • Development Report means a written account of Licensee’s progress under the Development Plan having at least the information specified on Appendix B to this Agreement, and shall be sent to the address specified on Appendix B.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Program Know-How which means any and all Know-How that is created, conceived, discovered, first generated, invented, first made or first reduced to practice, in each case (i) by or on behalf of [***], (ii) by or on behalf of [***] or (iii) by or on behalf of [***], but expressly excluding any Joint Program Know-How.
