Program Termination. Either OCI or GE Capital, subject to 90 days prior written notice, can terminate the Program with respect to loans not yet committed to by GE Capital. Also, if there has been a material adverse change in the financial condition of OCI from the financial condition of OCI on the commencement date of the Program, GE Capital can terminate the Program with respect to loans not yet committed to by GE Capital on 30 days prior written notice.
